These Terms of Service ("Terms") govern your access to and use of pyroleads.com (the "Site") and the lead generation services provided by Pyro Leads ("Pyro Leads," "we," "us," or "our") to law firms and other clients ("Client," "you"). By using the Site or engaging the Services, you agree to these Terms.
1. Services
Pyro Leads operates paid media campaigns and intake funnels to generate motor vehicle accident ("MVA") and related personal injury leads, qualifies them against criteria you specify, and delivers qualified leads to you in real time via the channels and integrations agreed in your order.
2. Eligibility and authorization
The Services are intended for licensed law firms and authorized lead buyers. By engaging the Services you represent that you are authorized to receive and use lead information for the purposes of evaluating and pursuing legal representation in compliance with all applicable bar rules and laws.
3. Orders, pricing, and payment
- Pricing, lead volume, geography, and qualification criteria are set out in your order or statement of work.
- Invoices are payable on the terms stated. Past-due amounts may accrue interest at 1.5% per month or the maximum allowed by law.
- Pyro Leads may pause delivery for past-due accounts.
4. Lead criteria, credits, and replacements
A lead is "qualified" when it meets the criteria specified in your order. If a delivered lead does not meet the agreed criteria (for example, wrong jurisdiction, no injury, prior representation, duplicate within 30 days), you may submit a credit request through the channel we provide within seventy-two (72) hours of delivery. Approved credits are issued as account credit or lead replacement at our discretion.
5. Exclusivity
Leads delivered to you under an exclusive arrangement are sold once. We do not resell those leads to other firms. Lead types, geographies, and exclusivity windows are defined in your order.
6. Acceptable use
- You will use leads only for the lawful evaluation and pursuit of legal representation.
- You will comply with all applicable laws including the TCPA, CAN-SPAM, state bar advertising and solicitation rules, and consumer protection statutes.
- You will not resell, share, or transfer leads to third parties without our written consent.
- You will honor any opt-out, do-not-call, or revocation of consent received from a claimant.
7. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses to protect its own confidential information, and not less than a reasonable standard of care. This obligation survives termination.
8. Intellectual property
Pyro Leads retains all rights to the Site, the Services, our software, creative assets, and any analytics, models, and aggregated data we develop. You retain all rights to your firm's marks and content provided to us.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis. We do not guarantee any specific number of signed retainers, case outcomes, or revenue. Lead quality, delivery times, and conversion rates depend on many factors outside our control. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to these Terms or the Services. Our total aggregate liability arising out of or related to these Terms will not exceed the amounts paid by you to Pyro Leads in the three (3) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Pyro Leads, its officers, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your use of leads or the Services, (b) your violation of these Terms or applicable law, or (c) your communications with claimants.
12. Term and termination
Either party may terminate the Services with written notice as set out in your order. We may suspend or terminate access immediately for non-payment, breach of these Terms, or risk to the Services or other clients. Sections that by their nature should survive termination will survive.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction there.
14. Changes
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Services after changes constitutes acceptance of the updated Terms.
